What is an ADS?

An American Depository Share or ADS is a US share which represents a specified number of ordinary shares on deposit in the United Kingdom.  An ADR is the certificate representing ownership of the ADSs.

Who can hold ADRs?

ADRs can be held by both retail investors and institutions.

What rights do ADS holders have?

An ADS gives registered ADS holders the right to receive dividends in US dollars, attend Balfour Beatty shareholder meetings, and the right to vote on important matters such as corporate actions.

How can I replace a lost certificate?

If your certificate is lost, stolen or destroyed, please notify Citibank immediately so that a stop transfer can be placed on the certificate. Citibank will send to you the forms necessary for issuing a replacement certificate. Please note there is a fee charged which is approximately 3% of the market value of the shares (minimum fee of $20.00) to purchase the replacement indemnity bond.

Can I convert my ordinary shares into ADRs?

Yes, if you hold ordinary shares, please contact your broker who will be able to advise you on the process.

How can I find out when Balfour Beatty dividends are paid?

What should I do if I lose my dividend cheque (s) or tax voucher, or have a dated dividend cheque?

Please do not cash cheques issued 6 months or more, prior to the dividend payment date. You should contact Citibank Shareholder Services at 1-877-248-4237 (International number: +1-781-575-4555) to replace a dividend cheque or have a tax voucher reissued.
